Resurrection of the BOD

;) Ok, here is where we are suppose to make a decision. Are we going to wait until the meeting are or we going to try to have a BOD before the meeting? We have people offering to step up so let's take this opportunity to move forward!

I myself would also volunteer to hold an office such as public relations if one exists or could be created and the club found me worthy. Randy would actually probably be a better public relations guy but he IS the buisness major so $ should be old hat to him.....and thus I nominated him for treasurer:D

Chris, I know your busy with school, but if your nominated would you interested in a leadership position other than PR person? In the past that the PR position was appointed to a interested person by the BOD so the position will have to be filled also.

OLD Constitution of the East Tennessee Reef Club

This is a copy of the original Constitution before the change to allow a business owner to hold office. I don't have the amended version.

Constitution of the East Tennessee Reef Club
Article I
Name
Section 1 The name of the Club shall be the East Tennessee Reef Club aka ETRC.
Section 2 The name of this Club shall not be used by any individual, or group for self representation, or self gain.
Article II
Purpose
Section 1 East Tennessee Reef Club is a non-profit organization of marine hobbyists brought together by the desire to promote a better understanding of the life we keep in our home aquariums. Our focus is increasing the longevity of marine life in a controlled environment and to encourage that life to propagate freely. Only through education and the sharing of ideas can we expect a future for our hobby.
Section 2 Under no circumstances may any part of the income of this Club be used to the benefit of any Officer, Trustee or Member.
Section 3 Under dissolution of this Club, the Board of Directors shall, after paying or making provision for the payment of all of the liabilities of the Club, equally distribute the assets of the Club to the members in good standing.
Article III
Term
Section 1 The term of this Club is to be perpetual.
Section 2 The physical year of the East Tennessee Reef Club shall be May 1st, through May 1st. The Trustees shall audit all accounts and a complete financial report must be presented to the Board of Directors no later than 90 days following the close of the fiscal year.
Article IV
Membership
Section 1 Membership in this organization shall be open to anyone who, by proper application, meets with the approval of the Board of Directors.
Section 2 Proper application for membership and amount of these shall be established by the Board of Directors of this Club and shall be set forth in the By-laws of this organization.
Section 3 The East Tennessee Reef Club shall consist of five (5) classifications of membership.
Charter Regular Student Honorary

Article V
General Meetings
Section 1 Club meetings will generally be held on the third Saturday of each month.
Section 2 Order of Business
The order of business for any Board or general meeting shall consist of the follows:
General Meeting
(1)Opening of the meeting (refreshments served throughout meeting)
(2)Call for membership
(3)Club report
(4)Program and speaker.
(5)Raffles and special drawings for door prizes.
(6)Adjournment

Article VI
Board Meetings
Section 1 Board members shall receive notice of board meetings either in oral form at least 5 days before a meeting.
Section 2 At all meetings of the Board the president or in his absence the Vice President shall preside.
Section 3The board meeting shall be held on the first Friday of every other month starting in February unless changed by a majority vote of the board.
Section 4 The vote of a majority of the directors present at the time of the vote, if a quorum is present at such time, shall be the act of the Board. Each member present shall have one vote.
Section 5 Only board members shall attend unless a regular member is invited by a board member to attend. regular members shall have no vote and shall address the board at the board’s request, in compliance with article VIII section #7.
Section 6 The presence at any Board meeting of not less than four Board members shall constitute a quorum and shall be necessary to conduct the business of the society; two thirds of the quorum shall be needed to pass or reject a vote on Society business. However, a lesser number may adjourn the vote until the next scheduled Board meeting.
Section 7 Special or Emergency board meetings for the society shall be called in the following manner: 1st By the President 2nd A majority of the Board. Such meetings shall be called by oral notification to all Board members. Notification need not be in writing. Board members unable to attend will not be penalized.
Article VII
Officers and elections
Section 1 Elected Officers of the East Tennessee Reef Club shall consist of the following and shall be elected every one (1) year: President, Vice President, Secretary/Treasurer and Public Relations. The offices of Secretary and Treasurer may be combined at the discretion of the Board of Directors.
Section 2 Elections shall take place in the month of May of the election year. The newly elected officers shall assume office on July of the same year. Nominations for officers shall take place in the month of April of the election year. At this meeting the President or Chairperson will ascertain from the Secretary and Treasurer that all those nominated are qualified to run for office in accordance with the bylaws of this organization.
Section 3 Only members in good standing who have attended at least 4 (four) meetings in the current calendar year are legible for office.
Article VIII
Board of Directors
Section 1 The duly elected Officers as set forth in article VII, Sections one (1) shall comprise the East Tennessee Reef Club Board of Directors. Each member of the Board of Directors shall have equal vote in the business of the society. However, in the case of a tie, the President shall have the power of one and one-half (1 ½) votes.
Section 2 The Board of Directors shall hold the following terms of office: All elected board members shall be elected at the June general membership meeting and serve for one year starting at the first Board meeting in July. All appointed and elected Board Members terms shall end at the first Board meeting in July of the next year.
Section 3 It shall be the function of the Board of Directors to transact all business of the Club and make reports to the General Membership.
Section 4 Any Board Member who misses three (3) consecutive Board Meetings may be replaced by a majority vote of the Board of Directors. If it is an elected office, the President shall appoint an interim replacement until the next scheduled elections.
Section 5 A director may resign at any time by giving written notice to the Board, the president or the secretary of the Society. Unless otherwise specified in the notice the resignation shall take effect upon receipt thereof by the board and the acceptance of the resignation shall not be necessary to make it effective.
Section 6 In the event of the death, resignation or removal of a board member, the president at his discretion may propose a successor to be voted upon by the board to fill the unexpired term.
Section 7 A member wishing to attend or address a board meeting shall contact a Board Member or the President with his or her request. He or she may address the board at the behest of the President. The President shall be responsible for approval of all requests. The member names shall be added to the official admittance list to the board meeting. Non board members cannot vote on board business.

Article 1
Board Of Directors
Section 1 The Board of Directors shall consist of all elected Officers and appointed Trustees.
Section 2 A quorum of at least one half (2/3) of the Board of Directors must be in attendance in order to conduct business. The majority vote of those present shall be required in order for the Board to vote on any business.
Section 3 The Board of Directors shall have the power to fill all vacancies occurring within its ranks during the Fiscal Year, in accordance with article IX, section 4, of the Constitution.
Section 4 No member of the club may act as agent for the club, or the Board of Directors without the written consent of the Board of Directors.
Article II
Duties of Officers
Section 1 The President shall preside at all meetings, sign documents, and be a member of all Committees.
Section 2 The vice president shall, in the absence of the President, act as presiding officer. The vice president shall be a member of all Committees and shall be informed of any business of said Committee so that s/he may present it to the board in the absence of said Committee Chairman.
Section 3 It shall be the responsibility of the Secretary to inscribe the proceedings of all meetings and to be prepared to read the specified records when requested. This office requires the maintenance of Club records, except those designated to other officers. When the President and vice president are absent in any meeting, the Secretary shall preside. The Secretary shall also be responsible for maintaining copies of all correspondence as directed by the board.
Section 4 The Treasurer shall keep in order financial records and/or books, tender by check recognized expenses incurred by the Club, and co-sign checks with the President, or the one other Board member designated by the Board. The Treasurer is required to present immediately prior to the end of the fiscal year, all financial records to the person specified by the Board of Directors for audit and shall include a written statement of the financial condition of the club. The Treasurer shall also present a monthly financial report to the Board of Directors and anytime at the request of the President.
Section 5 All Officers/Trustees at the expiration of their term of office/appointment, or whether office/appointment is declared vacant, shall deliver to their successor all books, papers, monies and other property in their possession belonging to the (CLUB NAME).


Article III
Membership
Section 1 Application for membership in this organization shall be in writing on an official membership form, accompanied by dues, presented to the Treasurer.
Section 2 Regular members shall consist of those members over eighteen (18) years of age that are in good standing. Regular members are eligible to hold office and vote.
Section 3 Charter Members shall consist of those members who joined the Club during its first year of existence. Charter Members may hold office and vote.
Section 4 Student members shall consist of those members who are under eighteen (18) years of age. Applicants under fourteen (14) years of age cannot apply for membership unless a parent or guardian joins. Student members, regardless of charter membership affiliations, may not hold office or vote.
Section 5 Commercial Members shall consist of those individuals holding a financial interest in any phase of the Aquarium or Tropical Fish sales, being either fresh or salt water. Commercial members may not hold office, unless 2/3 voting members approve. Commercial members may vote. Commercial members may not solicit at the General Meetings, or at any other Club sponsored functions.
Section 6 Honorary membership may be bestowed upon those whom the society wishes to recognize for outstanding achievement in/or outstanding services to the society. Honorary members may not hold office or vote. Honorary membership is perpetual.
Section 7 Annual membership dues shall be set by the Board of Directors. This must be an adequate sum, enabling the Club to operate in an efficient, proper and solvent manner in the service and best interest of its membership. Membership starts the first of the next month following receipt of dues.
Section 8 Dues for Regular and Charter Members will be set at $24. Dues for student members will be $12. Dues for Commercial members will be $50. Commercial members will be provided with a small advertising space on website and newsletters.
Section 9 Members whose dues are not paid by their anniversary date, are to be considered delinquent and will be removed from the club roster with loss of rights and privileges of membership in the society.

Discipline of members
Every member of the ETRC shall be subject to the rules of these bylaws upon acceptance into the ETRC. Any member who performs an act or acts which are contrary to the spirit, aims or intent of this bylaws and its bylaws shall, upon public accusation at a board meeting:
Section 1 Have the accusation presented to the board of directors in written form for an impartial investigation; The Board shall act within three (3) consecutive Board meetings. Failure of the Board to act within this time limit shall constitute an automatic vote of confidence for the responding member.
Section 2 Both the responding member and complaining member shall be notified via certified mail within 2 weeks of the board meeting to be present in person to discuss both sides of the accusation and present evidence.
Section 3 Failure of the complaining member or responding member to show up at the designated board meeting without prior notice presented to the board shall constitute an automatic vote of confidence or dismissal of matter in question.
Section 4 Upon a majority vote of the board of directors, the member shall either be:
1) censured ~ official oral reprimand. demanding the act or acts not be repeated.
2) Acquitted ~ all charges dropped.
3) Expelled from the Society on a 2/3 vote of the board present.
4) on a third offense ~ (official reprimand) If censured three times within one year, he or she
shall be automatically expelled from the Society for conduct detrimental to the best interests of
the Society. Any dues left shall be reimbursed.
Section 5 The person or persons expelled shall be eligible to reapply for membership after one year of the date of being expelled. Applicant must apply in person to the board of directors, at a regular board meeting for reinstatement.

Article IV
Committees
Section 1 The Board of Directors shall establish (upon the approval of the President) all Committees required to conduct the business of the club.
Section 2 All Committees shall perform the duties assigned to them. No member shall be compelled to serve upon more than one Committee at the same time. Any member of the Committee failing to perform his/her duties may be removed from such Committee by the President.
Section 3 Remuneration, if any, shall be decided by the Board of Directors at the time the members of the Committee are selected. All Committees shall be paid upon presentation of bills.
Article V
Amendments to the Bylaws
Section 1 All proposed amendments to the By-laws must be in writing and must list the Article and Section that is to be amended. All proposed amendments must be signed by three (3) active members and presented to the Board of Directors for consideration. If approved by the Board of Directors, the proposed amendment shall be submitted for a general vote.
Section 2 A two-thirds (2/3) majority of voting members present shall be required to pass these changes at a General Meeting.
Section 3 All proposed changes will be published in the legal paper of the Club previous to the meeting at which action is to be taken.
Article VI
Parliamentary Authority
Section 1 All matters not herein expressly covered by the Constitution and/or By-laws are hereby delegated to the Board of Directors.

Are there any other nominations? Everyone that I would have nominated have already been, so no need to renominate. Lets keep the nominations open until the end of the month and figure some way to have a on line vote (email, poll etc....) please speak up if anyone has any other suggestions. Donna, who had mentioned in a previous tread that you are mostly homebound due to Rheumatoid Arthritis, I was concerned that you might not be able to attend meetings. It would be great for you to serve as the Secretary. You must feel you can if you nominated yourself. :)

Oh, Yea Donna. I was just playing. Being new has held me back the hold time that I have been in the club. Don't let it hold you back. If someone else wants the secretary job, they can nominate themselves. I think, since you volunteered to serve and nominated yourself, folks will think that you may actually serve. ;)

One thing about the secretaries job, they have to attend most meetings because they are responsible for taking the minutes.
 
We had been busy in the past and could not attend meetings and we apologize for that but now, Stefan and I are in a position to offer meetings to be held in our home, I need some opinions on my tank and want to see this club become stronger.
