I'm installing a Emperor Aquatics Smart UV "LITE" Sterilizer above my sump...I have the water inlet and outlet pointing down to the sump..Do I need to have the inlet/outlet pointing up for it to be running right? Or will it be fine with them pointing down?

If you haven't already, you want to purge the air out of it while its running, either by tilting it at an angle and or rotating it momentarily (if space permits) so the air escapes and the quartz sleeze that the light is in, is fully sumbmersed by water and not air. Easy deal, HTH.

I would try to point it up to keep the air out. Once you lose power it will drain and upon restart you'll have air again.

Nice unit by the Way, Emporer is the best IMO. Be sure to have the right flow.
